Naspers, via its majority-owned subsidiary Prosus, has sold a stake in Delivery Hero to Uber Technologies.
Naspers is one of South Africa’s most valuable companies, with stakes in Takealot, Media24, Property24, Mr D and AutoTrader.
It also operates within a vertical company structure alongside the Dutch company Prosus, which holds the company’s international assets.
Most of Naspers and Prosus’ value is tied to its stake in Chinese tech giant, Tencent, which is the world’s largest video game company and owner of WeChat.
Prosus recently announced the takeover of online food delivery service Just Eat Takeaway. South African football fans may be familiar with the brand, as it is a Champions League Sponsor.
Under the roughly R83 billion deal, the European Commission said Prosus had to reduce its shareholding in Delivery Hero, a German food delivery company.
As a result, the company sold 13,582,342 ordinary shares in Delivery Hero SE to Uber Technologies, representing approximately 4.5% of Delivery Hero’s total issued share capital.
The shares are being sold at €20.00 per share, representing a premium of approximately 22% to the 1-month Volume-Weighted Average Price of Delivery Hero shares as of 16 April 2026.
The transaction will result in gross proceeds of approximately €270 million (R5.2 billion at current exchange rates).
Upon the sale being finalised, Prosus’s interest in Delivery Hero will decrease from 26.3% to 21.8% of the issued share capital.
Prosus said that it remains committed to selling the relevant portion of its stake in Delivery Hero within
the required timeframe.
